1. Acceptance of These Terms

Our services include digital marketing, advertising management (Meta and Google Ads), website development, search engine optimization (SEO), local SEO, application development, and related consulting services. Content is provided for general informational purposes and does not replace personalized professional advice or legally required disclosures. We may modify, suspend, or discontinue any part of the services at any time.

4. Accounts and Security

If you create an account or submit information, you are responsible for maintaining confidentiality of your credentials and for all activity under your account. Notify us immediately of any unauthorized use or security breach.

5. Your Responsibilities

You agree not to:

• Violate any applicable laws or regulations
• Infringe on the rights of others
• Upload malicious code or harmful content
• Interfere with the operation or security of our services
• Use automated means to access the services except as explicitly permitted

6. User Content

If you submit content (messages, forms, documents, brand assets, or marketing materials), you grant us a non-exclusive, worldwide, royalty-free license to use, host, store, reproduce, and display it solely to operate, improve, and provide the services. You represent you have the necessary rights to the content you submit.

7. Consent to Electronic Communications and E-Sign

You consent to receive communications from us electronically (including email, SMS/MMS, and in-product notices) and to the use of electronic signatures and records in connection with our services. You may withdraw consent by contacting us, but we may be unable to provide certain services if you do.

8. Mobile Messaging (SMS/MMS) Program

By providing your mobile number and opting in on our website, forms, or by texting an opt-in keyword, you consent to receive text messages from Seventh Group LLC. Message frequency varies. Message and data rates may apply.

• Opt-out: Text STOP to end. You may also reply STOP ALL, CANCEL, UNSUBSCRIBE, or QUIT. You will receive one final message confirming your opt-out.
• Help: Text HELP for assistance or contact us at the information provided below.
• Eligibility: You must be the account holder or authorized user of the number provided.
• Carriers: Carriers are not liable for delayed or undelivered messages.
• Mobile data privacy: We do not share mobile phone numbers with third parties for their marketing or promotional purposes.

9. Project Timelines and Deliverables

Project timelines and deliverables will be outlined in individual service agreements or statements of work. We will make reasonable efforts to meet agreed-upon deadlines, but timelines may be adjusted based on client feedback, scope changes, or unforeseen circumstances. We will notify you of any significant changes.

10. Pricing, Payments, and Refunds

If fees apply to certain services, prices will be provided before you authorize payment. You agree to pay all charges incurred by you or your account. Unless otherwise stated in a written agreement, payments are non-refundable once services are rendered or resources have been allocated. Specific payment terms will be outlined in individual service agreements.

11. Third-Party Services

Our services may reference or integrate third-party tools, platforms, or providers (including but not limited to Meta, Google, web hosting providers, and analytics tools). We do not control and are not responsible for third-party services. Your use of such services is governed by those third parties' terms.

12. Privacy

Your use of the services is subject to our Privacy Policy, which describes how we collect, use, and safeguard personal information, including mobile messaging data. We implement reasonable administrative, technical, and physical safeguards; however, no system is completely secure.

13. Intellectual Property

All content and materials on the services, including text, graphics, logos, and software, are owned by or licensed to Seventh Group LLC and protected by law. You may not copy, modify, distribute, or create derivative works except as expressly permitted. Upon full payment, clients receive ownership or license rights to deliverables as specified in their service agreements.

14. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. MARKETING RESULTS MAY VARY AND ARE NOT GUARANTEED.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEVENTH GROUP LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ANY CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

16. Indemnification

You agree to defend, indemnify, and hold harmless Seventh Group LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the services, your content, or your violation of these Terms or applicable law.

17. Dispute Resolution; Arbitration; Class-Action Waiver

You and Seventh Group LLC agree to attempt informal resolution of any dispute for 30 days. If unresolved, any dispute, claim, or controversy arising out of or relating to these Terms or the services will be settled by binding arbitration on an individual basis. You and Seventh Group LLC waive the right to a jury trial and to participate in a class action or class-wide arbitration. This section does not apply to claims that cannot be arbitrated as a matter of law or to actions for injunctive relief.

18. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. Subject to Section 17, the exclusive venue for any permitted court action is the state and federal courts located in San Bernardino County, California.

19. Changes to These Terms

We may update these Terms from time to time. The "Effective Date" above will reflect the latest version. Your continued use of the services after changes take effect constitutes acceptance of the updated Terms.

20. Termination

We may suspend or terminate your access to the services at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination, Sections that by their nature should survive (including intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and governing law) will survive.
